Further Statement Regarding Legal Proceedings
On 18 February 2008, Dominion announced that it was involved in legal proceedings with an exemployee and ex-director of the Company, Mr. Carlo Seidel and referred to the fact that the Company’s application for an injunction (to prevent Mr. Seidel from selling or otherwise dealing in shares in the Company held by him which are the subject of dispute in the legal proceedings brought by the Company in Bermuda) together with Mr. Seidel’s objections to that application were to be heard by the Court in late February and early March 2008.
Dominion can now report that the High Court granted its application for such an injunction in respect of approximately 44.8 million of the shares in dispute on normal terms including provision of security for Dominion’s undertaking in damages. Dominion continues to assert that the balance of the shares of approximately 20.4 million shares in dispute remain subject to restrictions on their disposal imposed by the placing agreement dated 7 December 2006 referred to in paragraph 13.1 f the AIM Admission Document dated 7 December 2006.
Dominion will continue to pursue its claims in Bermuda and contest Mr. Seidel’s claim in England, both of which remain to be determined at trial, with the utmost vigour.
